Standard Terms & Conditions

The terms and conditions stated below apply to all projects in which Vector Pty Ltd is engaged. It is agreed that all customers who have accepted the quote and engaged us to work on their project have read, understood and agreed to these terms and conditions.

  1. Vector Pty Ltd will invoice the client after each stage, as noted in the quotation, and full payment will be required once the quoted project is completed.

  2. All projects include Preliminary Design Services; this consists of no more than two rounds of design amendments unless otherwise stated. Design changes allow minor design adjustments and feedback from the client, and do not allow for a scope change from the initial brief. If you would like a complete design change/design option, Vector Pty Ltd can perform this scope of work based on our standard design rate of $150+ GST per hour.

  3. Design changes can only occur during the Preliminary Design or Design Consultation phases. Design changes after the Preliminary Design or Design Consultation phase have been signed off, and drawings have progressed to the next stage, will incur additional charges.

  4. Vector Pty Ltd allows for only one initial face-to-face site visit and/or design consultation meeting with clients (unless specified or requested in the quote). Vector Pty Ltd can utilise screen-sharing software to enable us to simulate the virtual experience of a face-to-face meeting. Concise virtual meetings may be scheduled as needed within reasonable limits.

  5. Any additional work, such as design, drafting, consultancy, meeting attendance and site visits, not initially included in the quotation, will be undertaken at Vector Pty Ltd’s standard variation rate of $150+ GST per hour. Any meeting attendance requests by the client will be charged at a standard hourly rate. Any site visits outside the MidCoast Council Local Government Area will be charged a standard hourly rate, and the client agrees to pay travelling costs, accommodation, or any additional costs incurred during visits.

  6. Should the duration of the project or the scope of work or design be extended for any reasons whatsoever by the client, an equitable and reasonable extension of time will be granted to Vector Pty Ltd to complete the work and any additional costs incurred by Vector Pty Ltd will be charged at standard hourly rates to the client, unless otherwise agreed to in writing before any work being started.

  7. Should the client delay the progression of their project for longer than 14 days due to personal circumstances or due diligence, the client will be required to pay all fees incurred proportionate to the work completed at any given project stage.

  8. The client must pay all invoices within seven days after the drawings have been completed, regardless of whether the client wants or needs the drawings.

  9. The property in the services shall not pass to the Client until all sums due or owing to Vector Pty Ltd by the Client on any account whatsoever have been paid. Such sums shall not be treated as being paid until any cheque, Bill of Exchange, or another instrument of payment given by the Client has been met on presentation or otherwise honoured by its terms.

  10. All design devices always remain the property of Vector Pty Ltd and cannot be reproduced without the prior consent of Vector Pty Ltd, except where the design devices have explicitly been licensed and paid for in full. Vector Pty Ltd reserves the right to withdraw the license if the design devices are altered or tampered with.

  11. If the client fails to make payment within 30 days after the drawings or documentation has been completed, Vector Pty Ltd holds the right to appoint the services of a debt collection agency to collect the outstanding fees on behalf of Vector Pty Ltd, in which case the client will burden the cost of such services which is calculated at 15% of the total outstanding fee. These fees will be added to the total outstanding invoice for the services provided.

  12. Vector Pty Ltd may subcontract any of the Services contemplated by this Agreement without the Client’s prior written consent.

  13. It is a condition of Vector Pty Ltd’s engagement that Vector Pty Ltd shall not be liable for any liability or loss to the extent that it is the fault of Vector Pty Ltd’s Client or parties other than Vector Pty Ltd.

  14. Vector Pty Ltd always aims to deliver the project on time and produce high-quality drawings that are acceptable for lodgements and construction. However, Vector Pty Ltd cannot guarantee error-free drawings and on-time delivery.

  15. The Client shall be fully responsible for and shall indemnify Vector Pty Ltd against any claims, actions, and liabilities falling upon Vector Pty Ltd that arise from the publication or use of such information, claims or materials supplied by the Client which contravene any applicable law, regulation, or code of practice.

  16. Vector Pty Ltd does not guarantee that the client’s project will be passed or approved by the relevant authority for any project. Vector Pty Ltd will give professional advice regarding the criteria for Australian standards, Council regulations and BCA requirements.

  17. Vector Pty Ltd will supply plans and graphics in PDF format. Notify Vector Pty Ltd if you would like your plans or graphics supplied in a format other than this, and Vector Pty Ltd will provide you with a quote unless stated otherwise in the quote.

  18. Notify Vector Pty Ltd if you would like your plans supplied in hard copy, and Vector Pty Ltd will provide you with a quote unless stated otherwise in the quote.

  19. Orders confirmed in writing cannot be cancelled or amended except with Vector Pty Ltd’s prior written consent and on terms that will indemnify Vector Pty Ltd against any loss it suffers due to such cancellation.

  20. Each party shall retain all its Intellectual Property Rights in Material prior to this Agreement’s commencement.

  21. Notwithstanding any other clause in this Agreement, the parties agree that Vector Pty Ltd shall own all Intellectual Property Rights created as a result of the Services until the relevant invoice is paid in full.

  22. Vector Pty Ltd shall not under any circumstances be liable for any indirect, special, consequential or economic loss, loss of trade or reputation, loss of contracts, revenue, goodwill, profits or other benefits arising from breach of contract, negligence or otherwise. Vector Pty Ltd shall be under no liability to the Client for any loss occasioned by the failure of the Client to comply with any instructions given by Vector Pty Ltd, whether written or oral, in respect of the service or as a result of the misuse of the service by the Client.

  23. Vector Pty Ltd shall be under no liability whatsoever for any delay or failure in the performance or any of its obligations due to causes beyond its control, including without limitation from non-delivery or delays in delivery of any service due to or resulting from war, strikes, lockouts, fire, floods, explosion, government restrictions, inability to obtain materials or labour or act of God.

  24. Vector Pty Ltd can immediately cancel any outstanding order if the Client fails to make any payments outstanding on previous orders delivered and not paid within its terms.

  25. If the client exits the project early and before the completion of any stages as quoted, then Vector Pty Ltd reserves the right to invoice the client for all hours spent on the project.

  26. The construction, validity and performance of the Contract shall be by the laws of Australia, and the parties at this moment submit to the non-exclusive jurisdiction of the Australian Courts.

  27. By taxation law, a 10% goods and services tax will be added to all fees.

  28. Vector Pty Ltd will try their best to arrange a time to meet that is convenient for all clients; however, Vector Pty Ltd cannot always guarantee that we will be available after hours to do meetings or site visits.

  29. Vector.net.au is owned and operated by Vector Pty Ltd. Any material that appears on this site, including text, logos, graphics, images, photographs, icons, site design, graphics and other material (collectively the “Content”), and the selection, assembly and arrangement thereof, is subject to applicable copyright laws.
